A senior specialist at the Warsaw Stock Exchange’s Market Development Department, responsible for attracting Polish and foreign companies and investment firms to the WSE. During her multi-year carrier at the WSE, was involved in a number of business projects related to development of the WSE. As a public speaker, she popularizes the ways of raising capital via the stock market.

Marcin StudniarekMarcin Studniarek | White & Case

Marcin Studniarek is the head of M&A and Capital Markets practices in the Warsaw office of White & Case. He is an attorney-at-law and focuses on commercial law, securities law and M&A transactions as well as corporate governance issues. He has advised foreign investors on various transactions regarding the purchase or the sale of large stakes in Polish companies. He has represented the State Treasury in negotiations with foreign investors. Among the projects he has worked on are IPOs of Ukrainian companies on the Warsaw Stock Exchange i.e. Agroton Public Limited, Industrial Milk Company. In addition he is currently working on three other IPO’s of Ukrainian companies in diffdrent industries (including real estate and gas distribution) on the WSE, all of which are being carried out through holding companies. He also advised in Eurobond issue of Agroton Public Limited.

He has advised in a number of public offers of shares including JSW (value of IPO: EUR 1.8 bln), Eureko/PZU (value of IPO: EUR 2 bln), KOV (value of IPO: EUR 78.7 mln) and many others. Marcin advised in a number of public and private offers of debt instruments, includnig the first public offer of structured bonds listed on the WSE, the MTN programs of BRE Bank, Bank BPH, Getin Bank and Eurobonds of Telekomunikacja Polska. He has advised in a number capital markets transactions, i.e. advising Deutsche Bank in the rights issue of BRE Bank (vale of transaction: EUR 500 mln), HSBC in the right issue of Bank Millennium (vale of the transaction: EUR 250 mln), JP Morgan and Nomura in Eurobond issue made by TVN (the major Polish tv and media holding). Marcin represented EQT V (a leading private equity fund) on the acqusition of HTL Strefa, which was the largest P2P deal executed by a PE fund in the history of the WSE with a value of EUR 215 mln.

The latest edition of Chambers Europe 2011, lists Marcin Studniarek among leading Polish Capital Markets lawyers (Tier 2).
